Klimafonden's board of directors consists of seven members. The members are primarily independent, recognized individuals within the fields of climate, environment and energy, plus the current mayor of Skive Municipality. The board is the owners of the foundation.

The board is appointed in accordance with the articles of association of Klimafonden Skive. A board member must resign at the latest after the end of the election period in which the member has reached the general retirement age in Denmark.
The day-to-day operations are handled by the foundation's secretariat.
Klimafonden Skive complies with the "Recommendations for Good Fund Management" prepared by the Committee for Good Fund Management.
